Marketplace & Recruitment Terms
Last updated: 21 October 2026
Version: 1.0
Effective: 21 October 2026
Summary
These terms set up the Rational HRM marketplace (nlit.io) as a matching platform and recruitment service. AdMun is never the employer of freelancers or candidates and never lends out workers within the meaning of the Waadi and the Wet toelating terbeschikkingstelling van arbeidskrachten (Wtta).
Operator: AdMun (eenmanszaak, trade names including NLIT and NetherlandsIT), KVK 84121998, Oudemansstraat 315, 2522 SW 's-Gravenhage. These terms add to the Terms & Conditions; where they conflict on marketplace or recruitment matters, these terms prevail.
1. Definitions
- Platform: the online marketplace at nlit.io and related apps, operated by AdMun.
- Client: a business that publishes an assignment or vacancy on the Platform.
- Freelancer: an independent entrepreneur (zzp'er or company) registered with the Dutch Chamber of Commerce or an equivalent foreign register, who offers services through the Platform.
- Candidate: a person seeking employment who uses the Platform's recruitment service.
- Assignment: a defined result or service that a Freelancer delivers to a Client under an overeenkomst van opdracht or aanneming van werk.
- Placement: a Candidate entering into an employment contract directly with a Client.
- Users: Clients, Freelancers and Candidates together.
2. Role of the Platform
- AdMun provides an online marketplace and recruitment services. AdMun only brings Users into contact with each other.
- AdMun is not the employer of any Freelancer or Candidate and does not make workers available to Clients (no terbeschikkingstelling van arbeidskrachten within the meaning of the Waadi and Wtta).
- AdMun does not direct, supervise or schedule the work of Freelancers or Candidates, and does not pay them wages.
- Every Assignment is a contract directly between the Client and the Freelancer. Every employment contract after a Placement is directly between the Client and the Candidate. AdMun is not a party to these contracts.
- AdMun does not invoice Clients for hours worked by Freelancers with a margin on top. AdMun's income consists only of the fees in Article 7.
3. Recruitment Service (werving en selectie)
- On a Client's request, AdMun searches for, screens and proposes Candidates for a vacancy.
- The Client decides independently whether to hire a Candidate. The Candidate is hired directly by the Client, on the Client's own payroll.
- AdMun never employs the Candidate and never charges the Client for the Candidate's hours.
- Candidates use the recruitment service free of charge. AdMun never asks Candidates for any fee, deposit or payment.
- The Client owes AdMun a one-time placement fee when a Candidate introduced by AdMun is hired within 12 months of the introduction (Article 7).
- If the Client wants the Candidate to work through a temporary-work or secondment construction instead, this runs only through a third party listed in the NAU public register. AdMun then receives only a recruitment fee, never a margin on hours.
- AI may assist in screening and matching, but a human makes every selection decision. Candidates are informed when AI is used and may ask for human review.
4. Freelancer Assignments: Independence
- The Client describes the result to be delivered (what). The Freelancer decides how, when and where the work is done, within the agreed deadline.
- The Client gives no instructions on working method, working hours or presence, beyond reasonable practical arrangements such as access to systems or meeting times agreed with the Freelancer.
- The Freelancer is not part of the Client's organisation: no position in the organisation chart, no line manager, no performance reviews, no staff email signature or title, and no staff benefits.
- The Freelancer uses their own tools and equipment where reasonably possible, sets their own rate, and invoices the Client directly.
- The Freelancer bears entrepreneurial risk, including correcting defects in their work at their own cost.
- The Freelancer may work for other clients and may send a qualified substitute after informing the Client, unless the Assignment requires specific personal expertise.
- Assignments have a defined scope and end date. Work that is structural, open-ended, or the same as the Client's own employees' work under the same management does not belong on the Platform.
- The Platform does not offer rostering, clock-in/out or location tracking for Freelancers. Acceptance is based on delivered milestones or results, not on hours under supervision.
- Parties are advised to base the Assignment contract on the Platform's template overeenkomst van opdracht, which follows these principles.
5. Client Obligations
- The Client uses the Platform only to hire Freelancers for independent Assignments or to recruit Candidates for direct employment.
- The Client does not exercise leiding en toezicht (direction and supervision) over Freelancers, as described in Article 4.
- The Client does not use the Platform to hire temporary staff, seconded staff or payroll workers.
- The Client checks that the Freelancer is registered with the Chamber of Commerce and remains responsible for its own assessment of the working relationship under the Wet DBA.
- The Client informs AdMun immediately if an Assignment changes in a way that brings it under the Client's direction.
- The Client indemnifies AdMun against fines and claims that result from the Client's breach of this Article.
6. Freelancer Obligations
- The Freelancer is a genuine independent entrepreneur with a valid KVK registration (or foreign equivalent) and VAT number, and keeps these up to date on the Platform.
- The Freelancer arranges their own tax, VAT, insurance (including professional liability where relevant) and pension.
- The Freelancer refuses or reports instructions that amount to direction and supervision, as described in Article 4.
- The Freelancer does not present themselves as an employee of the Client or of AdMun.
- The Freelancer does not use the Platform to offer their own employees to Clients under the Client's supervision (that is lending out workers and requires Wtta admission).
7. Fees and Payments
AdMun earns only platform and recruitment fees, never a margin on hours worked. Current amounts are shown on the Platform or in the Client's quotation.
| Service | Who pays | Fee type | When |
|---|---|---|---|
| Platform listing or subscription | Client | Fixed amount per month or per listing | In advance |
| Freelancer match (introduction) | Client | One-time fixed fee or percentage of the agreed Assignment value | When the Assignment contract is signed |
| Freelancer membership (optional) | Freelancer | Fixed amount per month | In advance |
| Placement (recruitment) | Client | Percentage of the Candidate's gross first-year salary | When the employment contract is signed |
| Recruitment | Candidate | Free | Never charged |
- The Freelancer invoices the Client directly for the Assignment. Payments between Client and Freelancer never run through an AdMun bank account; where the Platform offers payment handling, it is done by a licensed third-party payment provider.
- Fees are excluding VAT. Payment term: 14 days.
- If a Client hires a Freelancer or Candidate introduced by AdMun outside the Platform within 12 months, the applicable fee in this table is still due.
8. Monitoring, Reporting and Suspension
- AdMun may ask Clients and Freelancers to confirm, at the start and during an Assignment, that the work is carried out independently.
- Users can report an Assignment that looks like employment or temporary staffing to support@admun.eu.
- If AdMun finds signs of direction and supervision — for example fixed hours set by the Client, a manager assigning daily tasks, or work identical to staff work — AdMun may pause the listing, ask the parties to adjust or end the Assignment, or remove the Users.
- AdMun may suspend or terminate accounts that breach Articles 4 to 6.
9. Liability, Privacy and Governing Law
- AdMun is not liable for the quality of work delivered by Freelancers, for the conduct of Candidates, or for the employment or assignment relationship between Users.
- AdMun's total liability is limited to the fees paid to AdMun in the 12 months before the claim, except in case of intent or gross negligence.
- AdMun processes personal data in line with the GDPR (AVG) and its Privacy Policy. Candidate data is shared with a Client only with the Candidate's consent and only for the vacancy concerned.
- AdMun may change these terms with 30 days' notice through the Platform.
- Dutch law applies. Disputes go to the competent court in The Hague, unless mandatory law provides otherwise.
