Summary

These Terms of Service ("Terms") govern your use of admun.eu, nlit.io (Rational HRM), nlebike.com (NLEBIKE), and all associated platforms, APIs, and services (collectively, the "Platform") operated by AdMun (KVK 84121998, VAT NL003915624B42, Oudemansstraat 315, 2522SW 's-Gravenhage, Netherlands).

By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Who Can Use the Platform

• Age 18+ with full legal capacity under Dutch law
• Business users: Valid KVK registration where required (staffing agencies, employers)
• Consumers: Legally capable of entering purchase contracts (NLEBIKE)
• Authorised representatives acting on behalf of an organisation

We reserve the right to restrict, suspend, or terminate access at any time for violations, regulatory risk, or non-payment.

2. Our Services

We may modify, expand, or discontinue any service at any time.

3. Accounts & Registration

• Provide accurate, complete, current information
• Keep credentials confidential — you're responsible for all activity under your account
• Rational HRM: Requires WAADI/KVK verification + ABU/NBBU certification (from Jan 2026)
• NLEBIKE: Guest checkout available; account optional for order tracking

4. Payments & Billing

IT Services & Rational HRM (Subscriptions)

• Prices exclusive of VAT (BTW) unless stated
• Invoices due 14 days; statutory interest on overdue amounts
• Auto-renewal unless cancelled 30 days before renewal
• 30 days' notice for price increases
• Suspension if payment >14 days overdue

NLEBIKE (E-Commerce)

• Prices include VAT; EUR (€)
• Payment at checkout (iDEAL, cards, PayPal, Apple Pay, crypto/USDC, etc.)
• Order confirmed on successful payment authorization
• Free shipping NL on eligible orders; international rates apply

5. Intellectual Property

All rights reserved. Platform content, code, AI models, designs, brands (AdMun, NetherlandsIT, NLIT, NLEBIKE, Rational HRM, AIHR OS) are our exclusive property.

• Limited licence: Use Platform for intended purpose only
• AI Output: Licensed for your internal use only — no competing use
• Your content: You grant us licence to process for service delivery (incl. anonymised AI improvement)
• Trademarks: Unauthorised use prohibited

6. AI Services — Advisory Only

All AI output (compliance classifications, candidate matching, product recommendations, fraud flags, code generation) is informational and advisory only.

• Not legal/tax/HR/financial advice
• No accuracy guarantee — probabilistic systems may err
• Human review right: Workers can request review of AI classification (Art. 22 GDPR)
• No competing use — don't train rival systems on our AI output

7. Compliance Responsibility

You are responsible for your legal compliance. Our tools assist — they don't replace your obligations.

8. Data & Privacy

Governed by our Privacy Policy and Cookie Policy.

Key points:
- Controller/Processor: You control worker data (Rational HRM); we process per DPA
- Marketing: Soft opt-in (existing customers) + consent (new) — unsubscribe anytime
- Sensitive data (BSN, IBAN, health): Encrypted, isolated, never marketing/AI training
- Your rights: Access, correct, delete, object, portability, human review — see Privacy Policy §14

9. Third-Party Integrations

We integrate with: Payroll (NMBRS, AFAS, Finqle, etc.), Identity (eHerkenning, Veriff), Payments (Mollie, Stripe, PayPal), Shipping (PostNL, DHL), Social (LinkedIn, Meta, Google), Cloud (GCP, AWS).

• Not liable for third-party availability, accuracy, or terms
• Your responsibility to review third-party terms
• API access subject to rate limits, quotas, separate API Terms

10. Security & Force Majeure

We implement Zero-Trust, AES-256, TLS 1.3, RBAC, MFA, 24/7 monitoring, annual pen tests. However, not liable for breaches, cyber attacks, DDoS, zero-day exploits, state-sponsored attacks, or third-party compromises beyond reasonable control.

Not liable for interruptions from: force majeure, third-party infrastructure failures, maintenance, user-side issues, legislative changes.

Breach notification: 72 hours to AP (Art. 33 GDPR); affected individuals where high risk (Art. 34).

11. Limitation of Liability

You indemnify us for claims arising from your breach, illegal acts, false data, or third-party disputes from your use.

12. Termination

By Us (immediate, no liability):

• Material breach, non-payment >14 days, regulatory investigation, fraud, risk to Platform/users, lost certifications

By You:

• Subscriptions: 30 days' written notice to info@admun.eu
• NLEBIKE orders: 14-day cooling-off period (consumers); B2B by agreement

Effect:

• Licences cease; stop use; delete downloaded data; fees remain due; we retain data per law/retention policy
• Surviving sections: IP, Data/Privacy, Security, Liability, Termination, Governing Law

13. Changes to Terms

We may modify these Terms at any time. Changes effective on posting (or later date if specified). Continued use = acceptance.

We'll aim to: notify for material changes, email registered users, update version/date, maintain history.

If you don't accept changes: Stop using Platform and notify info@admun.eu.

14. Governing Law & Disputes

• Law: Netherlands (CISG excluded)
• Courts: 's-Gravenhage (The Hague) exclusive jurisdiction (unless mandatory consumer law)
• Pre-litigation: 30 days good-faith negotiation via info@admun.eu
• Consumer rights: BW Boek 6, EU Directive 2011/83/EU, EU ODR: ec.europa.eu/consumers/odr
• Language: English authoritative; Dutch available on request
